1. Agreement to Terms

By accessing or using any website, service, or communication operated by Alyra Labs LLC (“Alyra Labs,” “we,” “us,” or “our”), including alyralabs.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Site or our services.

2. Description of Services

Alyra Labs is a digital studio that builds custom websites, automates workflows, and integrates business systems for small-to-medium businesses. The Site provides information about our services and allows prospective clients to contact us.

3. Intellectual Property

All content on this Site — including design, text, graphics, logos, icons, images, and code — is the property of Alyra Labs or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any content without our prior written permission.

4. Contact Form & Communications

When you submit information through our contact form, you consent to Alyra Labs contacting you regarding your inquiry via email, phone, or text message at the contact information you provide. We will not add you to unrelated mailing lists or share your information for third-party marketing.

5. Text Messaging Terms

By providing your phone number and checking the SMS consent box on our contact form, you expressly consent to receive recurring automated promotional and informational SMS/MMS messages from Alyra Labs. These may include appointment reminders, project updates, service notifications, and other business communications.

• Consent not required: Agreeing to receive text messages is not a condition of purchasing any goods or services from Alyra Labs.
• Message frequency: Message frequency varies based on your interactions with us. You will not receive more messages than necessary to support our business relationship.
• Message and data rates: Message and data rates may apply. Contact your wireless carrier for details about your plan.
• Opt out: You may opt out at any time by replying STOP to any message. You will receive a one-time confirmation and no further messages unless you opt in again.

• Carrier liability:Carriers (including but not limited to T-Mobile, AT&T, and Verizon) are not liable for delayed or undelivered messages.
• No sharing: We will not sell, rent, or share your phone number or SMS opt-in consent with any third parties or affiliates for their marketing purposes.

6. Acceptable Use

You agree not to use the Site to: (a) violate any applicable law or regulation; (b) transmit malicious code, spam, or harmful content; (c) attempt to gain unauthorized access to any system or network; (d) interfere with the Site's operation or another user's use of the Site; or (e) impersonate any person or entity.

7. Disclaimer of Warranties

The Site and all content, services, and materials provided through it are offered on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Alyra Labs does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Alyra Labs, its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Site or our services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising from or related to these Terms or the Site shall not exceed one hundred dollars ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Alyra Labs and its owners, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

10. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions. Any dispute arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Hunterdon County, New Jersey, and you consent to the personal jurisdiction of such courts.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.
